Article I
Name and registered seat

Name of the establishment

An Establishment with a registered seat in the Principality of Liechtenstein is founded pursuant to Art. 534 ff of Liechtenstein Persons and Company Law (PGR).

The duration of the foundation is unlimited with respect to time.

Article II
Establishment assets

The establishment assets (establishment funds) are to amount to CHF.... The Establishment’s assets are solely liable for its debts.

Article III
Purpose of the Establishment

The purpose of the establishment is to...(object of the enterprise).

It should follow from the purpose definition, whether commercial activities will be conducted or not.

Article IV
Board of Directors

The Establishment is governed by the Board of Directors. The Board is appointed by the founder for the duration of 3 years.

The Board of Directors is made up of one or more members authorized to carry out business activities and represent the foundation to third persons, as well as national and international authorities.

The Board of Directors designates the persons entitled to represent the foundation and the scope of the authority granted to them.

Article V
Amendment of articles, dissolution of the association

The Board of Directors is authorized to amend or add to these articles at any time.

The Board of Directors is legally entitled to dissolve the Establishment at any time. The decision must be made unanimously by all members of the Board of Directors.

The Board of Directors decides how the assets of the establishment are to be utilized. It is entitled to transfer the assets and to take all necessary legal steps to preserve the capital for the beneficiaries.

Article VI
Notices

Legal notices will be issued as required and regulated by law.

Article VII
Beneficiaries

The board of directors determines in the by-laws the beneficiaries as well as their rights and liabilities.
